Baichuan Co., Ltd. (002455.SZ): Phoenix Investment Fund plans to subscribe 90 million yuan to increase the registered capital of Ningxia Baichuan New Materials
Gelonghui, March 10 — Baichuan Co., Ltd. (002455.SZ) announced that the company, its subsidiary Nantong Baichuan New Materials Co., Ltd. (“Nantong Baichuan New Materials”) and Ningxia Baichuan New Materials Co., Ltd. (“Ningxia Baichuan New Materials”), along with the company’s actual controllers Zheng Tiejian and Wang Yajuan, and Yinchuan Phoenix Zhifu Equity Investment Fund Partnership (Limited Partnership) (“Phoenix Investment Fund”) have jointly signed the “Ningxia Baichuan New Materials Co., Ltd. Investment Agreement.” Phoenix Investment Fund plans to subscribe to an additional registered capital of RMB 90 million in Ningxia Baichuan New Materials with cash, increasing its registered capital from RMB 3.5 billion to RMB 3.59 billion. After this capital increase, Nantong Baichuan New Materials will hold an 86.35% stake, Ningxia Guotou New Material Industry Luhao Equity Investment Fund Partnership (Limited Partnership) (“Luhao Investment Fund”) will hold an 11.14% stake, and Phoenix Investment Fund will hold a 2.51% stake. Ningxia Baichuan New Materials remains a subsidiary within the company’s consolidated scope, and there is no change in the scope of the company’s consolidated financial statements.
